Terms of Service

1. Acceptance

By accessing or using Helix (the “Service”), operated by Intelligent Group (“Intelligent iT”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Description of Service

Helix is a governed AI workforce platform that provides automated Security Alert Triage, posture monitoring, playbook execution, and related managed security services. The Service is offered as a subscription-based SaaS product under the plans described at intelligentit.io/pricing.

3. Subscriptions and Billing

Subscription fees are billed monthly in advance via Stripe. Investigation overage charges are billed in arrears at the end of each billing cycle. You authorize Intelligent Group to charge the payment method on file for all fees. All fees are non-refundable except as required by applicable law.

4. Acceptable Use

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) transmit malware or other malicious code; (c) attempt to gain unauthorized access to any system or data; (d) resell or sublicense the Service without written consent.

5. Data and Security

Helix processes security telemetry on your behalf under the Data Processing Agreement (“DPA”) available at /legal/dpa. Tenant data is isolated using row-level security enforced at the database layer. Connector credentials are stored in Google Secret Manager and are never returned to the browser.

6. AI and Autonomous Actions

Helix agent actions are governed by the autonomy level you configure (L1 / L2 / L3). At all autonomy levels, high and critical findings are escalated to a named human operator. You retain responsibility for reviewing escalated findings and for any remediation actions taken by human operators based on Helix output. Intelligent Group does not guarantee that AI-generated classifications are error-free.

7. Limitation of Liability

[DRAFT — pending legal review.] To the maximum extent permitted by applicable law, Intelligent Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim.

8. Governing Law

[DRAFT — pending legal review.] These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes shall be resolved in the federal or state courts located in New York County, New York.
